Terms of Service

These Terms of Service ("Terms") form a legal agreement between you ("you", "Customer") and SubLuna, operating Gold Shield ("Gold Shield", "we", "us", "our"), regarding your use of the Gold Shield service (the "Service") at goldshield.app and its related domains.

By creating an account, connecting an Etsy shop, or using the Service in any way, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Gold Shield is a personal customer-service productivity tool for individual Etsy sellers. It provides:

• Countdown timers for unanswered customer messages on your own Etsy shop
• AI-generated reply suggestions trained on your own past replies
• Notifications before Star Seller deadlines
• Surfacing and tracking of low-rating reviews
• Pre-filled review removal request templates citing Etsy's own policy
• Monitoring of your public listing pages for title rewrites
• A dashboard showing all of the above in one place

The Service operates on data belonging to your own shop only. We do not aggregate, share, or compare data between sellers.

2. Etsy disclaimer

Gold Shield is built independently and is not affiliated with, endorsed by, or sponsored by Etsy, Inc. "Etsy" and "Star Seller" are trademarks of Etsy, Inc. We use these terms only to describe what our Service does. Our Service interacts with Etsy strictly through Etsy's official public APIs (where available) and through email notifications you choose to forward to us. We follow Etsy's API Terms of Use and Terms of Use as applicable to a third-party application.

We are not responsible for any decisions Etsy makes regarding your Etsy account, including suspension, policy changes, or changes to Star Seller eligibility, that are outside our control.

3. Your account

• You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service.
• You must provide a valid email address and accurate registration information.
• You are responsible for the security of your account and for all activity under it.
• One Gold Shield account is intended for one Etsy seller's use. Sharing accounts is not permitted.

4. Connecting your Etsy shop

You connect your Etsy shop using Etsy's official OAuth 2.0 authorization. We request read-only scopes only and never receive your Etsy password. You can revoke our access at any time directly in your Etsy account settings; that immediately stops further data collection.

We never perform automated actions on your behalf within Etsy. All replies, edits, and submissions continue to be made by you, from your own Etsy interface.

5. Email forwarding

To enable message tracking, you may choose to set up forwarding from your Etsy notification emails to a private address we provide. This is optional and fully under your control. We process the contents of forwarded notifications strictly to:

• Detect new conversations and start countdown timers
• Detect new reviews and surface them to you
• Provide AI reply suggestions for your own use

You can stop forwarding at any time from your Etsy settings, and we will delete the corresponding data in line with our retention policy.

6. Subscription, billing, and refunds

Free tier

The Free tier (Title Watchdog) is provided at no cost. We may impose reasonable limits (e.g. up to 10 listings monitored). The Free tier may be discontinued or modified with reasonable notice.

Paid plans

The Pro plan is offered at USD 19 per month, or an equivalent annual rate, billed in advance through our payment processor (Stripe or LemonSqueezy). Local taxes and VAT may apply.

Free trial

When the Service launches publicly, we offer a 14-day free trial of the Pro plan. You will not be charged during the trial. To begin the trial, no credit card is required to join the waitlist; a payment method may be required when paid plans become available.

Refunds

If you are unhappy with the Pro plan within the first 30 days of paid usage, contact us at hello@goldshield.app for a full refund — no questions asked. After 30 days, billing is monthly with no contract; you can cancel anytime, and you will retain access until the end of your current billing period.

Cancellation

You can cancel your subscription at any time from your account settings. We do not provide pro-rated refunds for partial months unless the 30-day refund window applies.

7. Acceptable use

You agree not to:

• Use the Service to violate any law or third-party right, including Etsy's Terms of Use
• Attempt to reverse engineer, decompile, or extract source code or models from the Service
• Resell, sublicense, or otherwise commercialize the Service to third parties
• Connect Etsy shops you do not own or have authorization to manage
• Use automated tools to scrape Etsy or impersonate Etsy users via the Service
• Send spam, abusive content, or malware through reply drafts generated by the Service
• Interfere with the Service's infrastructure or attempt to gain unauthorized access

We may suspend or terminate your access if we reasonably believe you have violated these rules.

8. AI suggestions and your responsibility

Reply suggestions, review responses, and removal request templates produced by Gold Shield are suggestions only. They are not professional advice. You remain solely responsible for:

• Reviewing every suggestion before sending it
• Editing or rejecting any suggestion that is inaccurate, inappropriate, or off-tone
• The contents of replies you actually send to your customers
• Compliance with Etsy's policies, applicable consumer protection law, and any other obligations

AI output may occasionally be inaccurate, biased, or generic despite our best efforts. Treat suggestions as a starting point, never a final answer.

9. Intellectual property

We own all rights, title, and interest in the Service, including its software, design, trademarks, and content (excluding your data). We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your subscription.

You retain all rights to your own data, your shop content, and your replies.

10. Your content

You grant us a limited license to process your shop data, messages, reviews, and reply drafts solely to provide the Service to you. We do not use your content to train AI models for other sellers, never publish it, and never share it without your direction.

11. Third-party services

The Service relies on third-party providers including (but not limited to) Etsy, Vercel, Supabase, Anthropic, Postmark, and Stripe. Their availability, terms, and changes are outside our control. If a third-party provider materially restricts our ability to deliver part of the Service (for example, if Etsy changes its API), we will work to adapt; if we cannot, we will notify you and may pause or discontinue affected features.

12. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

We do not warrant that the Service will:

• Be available, error-free, or uninterrupted
• Detect every customer message, review, or title change
• Prevent loss of Star Seller status, account suspension, or other Etsy-side actions
• Generate reply suggestions that are always accurate, appropriate, or free of error

13. Limitation of liability

To the fullest extent permitted by law, in no event shall Gold Shield, SubLuna, or its operators, contractors, or agents be liable for:

• Any indirect, incidental, consequential, special, exemplary, or punitive damages
• Loss of profits, revenue, sales, business, goodwill, or data
• Damages caused by Etsy's actions, decisions, or policy changes
• Damages caused by any third-party service we rely on

Our aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD 50.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In those cases, the exclusions and limitations apply to the fullest extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Gold Shield, SubLuna, and its operators from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service in violation of these Terms or applicable law
• Replies, content, or messages you send through your Etsy shop, with or without our suggestions
• Your violation of any third-party rights, including Etsy's Terms of Use

15. Termination

You may terminate your account at any time. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or use the Service in a way that creates legal or operational risk for us.

Upon termination, your access to the Service ends immediately. We will delete your data per our retention schedule (see Privacy Policy, Section 6). Sections of these Terms that by their nature should survive termination (such as Liability, Indemnification, IP, and Governing Law) survive.

16. Changes to the Service or Terms

We may update the Service or these Terms from time to time. For material changes to these Terms, we will notify you by email at least 30 days before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, you may terminate your account.

17. Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We will try to resolve any dispute informally first. Please contact us at hello@goldshield.app to discuss any concern. If we cannot resolve it within 60 days, the dispute shall be brought before the competent courts of Ukraine, unless mandatory consumer-protection law in your country of residence requires otherwise.

If you are a consumer in the European Union, you may also use the European Commission's Online Dispute Resolution platform.

18. Miscellaneous

• Severability: if any provision of these Terms is held invalid, the rest remain in effect.
• No waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign these Terms without our consent. We may assign these Terms to a successor in connection with a merger, sale, or reorganization.
• Entire agreement: these Terms, together with the Privacy Policy and any DPA you sign, are the complete agreement between you and us regarding the Service.
• Force majeure: we are not liable for failures caused by events beyond our reasonable control (natural disasters, war, network outages, third-party service failures).
